Should you wish to register .spa names with us or transfer .spa names to our management, Asia Spa and Wellness Promotion Council Limited (“Registry Operator”) imposes certain conditions. As set out in our contract with you, by placing an order with us you unconditionally agree to be bound by these terms and conditions. You agree and acknowledge to comply with the .spa registry policies as set out below and additional terms as may be updated from time to time:

• You acknowledge that we may furnish our contract with you to the Registry Operator within seven (7) calendar days upon the Registry Operator’s request in order to evidence compliance with the .spa registry registrar agreement.
• You acknowledge and agree that the Registry Operator reserves the right to deny, cancel or transfer any registration or transaction, or place any domain name(s) on registry lock, hold or similar status, as it deems necessary, in its unlimited and sole discretion.
• You agree:

1. 1. to comply with specifications adopted by Registry Operator to fulfil community requirements (as set out in the .SPA Registration Policy);
   2. to comply with specifications adopted by any industry group generally recognized as authoritative with respect to the Internet (e.g. RFCs);
   3. to correct mistakes made by Registry Operator or us in connection with a domain name registration; or
   4. that Registry Operator may cancel any registration for the non-payment of fees by your registrar.

• You acknowledge and agree to comply with .spa’s acceptable use policies and terms of service, if any, as they may be instituted or updated from time to time and published on the .spa website specific to the TLD for the .spa domain.
• You agree to indemnify and defend Registry Operator and its directors, officers, employees, subsidiaries, contractors, subcontractors, attorneys, insurers and agents (collectively, “Indemnitees”) from and against any and all third-party claims, damages, liabilities, costs, and expenses, including reasonable legal fees and expenses, arising out of Registry Operator’s operation of the registry for .spa or Registry Operator’s provision of registry services or in connection with the domain name registration. This indemnification obligation shall survive the termination or expiration of the contract with us.

• You acknowledge and agree that the Registry Operator may temporarily suspend or restrict access to the registry system if there is significant degradation of the registry system, emergency cases or for breach of contract.
• You acknowledge and agree to comply with the following:

1. 1. ICANN standards, policies, procedures, and practices for which Registry Operator has monitoring responsibility in accordance with the registry agreement or other arrangement with ICANN;
   2. Operational standards, policies, procedures, and practices for the TLD as set forth in the registry agreement and as established from time to time by Registry Operator in a non-arbitrary manner and applicable to all registrars (“Operational Requirements”), including affiliates of Registry Operator, and consistent with ICANN’s standards, policies, procedures, and practices and Registry Operator’s registry agreement with ICANN. Additional or revised Registry Operator operational standards, policies, procedures, and practices for the TLD shall be effective upon thirty (30) days’ notice by Registry Operator to Registrar;
   3. Consent to use, copying, distribution, publication, modification and other processing of your personal data by Registry Operator and its designees and agents and with relevant mandatory local data protection, laws and privacy; and
   4. You agree to provide accurate and reliable contact details and correct and update them within seven (7) days of any change during the term of your contract. You acknowledge that your wilful provision of inaccurate or unreliable information, failure to update information provided to us within seven (7) days of any change, or failure to respond for over fifteen (15) days to inquiries by us concerning the accuracy of contact details associated with your domain registrations shall constitute a material breach of contract and be a basis for suspension and/or cancellation of the .spa registration.
